Biotech Corridor Terms of Use

1. Acceptance of Terms of Use
Welcome to the Biotech Corridor website, operated by Rockville Economic Development, Inc. (“REDI,” “we,” “us,” or “our”), a Maryland nonprofit corporation. By accessing or using biotechcorridor.com (the “Site”) or any of the services available through the Site (the “Services”), you agree to be bound by the Agreement, which includes these Terms of Use. the Privacy Policy, located at https://biotechcorridor.com/privacy-policy/ (“Privacy Policy”) and the Membership agreement, located at https://biotechcorridor.com/membership-agreement/ (“Membership Agreement”) relating to the Site, and any amendments to them. You are responsible for compliance with the Agreement. The Agreement supersedes any prior agreement or other communications between you and REDI relating to your use of and access to the Site or Services.
You must accept the Terms of Use, Privacy Policy, and Membership Agreement (if applicable) by clicking on the button before entering the Site or using the Services.
2. Eligibility
The Site and Services are intended for users 18 years of age or older, or who are accessing on behalf of a legally registered business or organization. By using the Site, you represent that you meet this requirement.
3. Account Registration
Certain features of the Site require account registration. You agree to provide accurate, current, and complete information, and to keep it updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. REDI reserves the right to terminate your access to the Site and/or your use of the Services at any time if you fail to comply with the Terms of Use, the Privacy Policy, and/or Membership Agreement.
4. User-Generated Content
4.1 Submissions
Members and authorized users may submit content to the Site, including but not limited to company directory profiles, event listings, funding opportunity details, marketplace listings, and messages exchanged through the Site (“User Content”). You retain all ownership and intellectual property rights to the User Content. You expressly recognize that except to the extent necessary to carry out our obligations, we do not create or endorse any User Content. You should not post any confidential or proprietary User Content on the Site.
4.2 License to REDI
By submitting User Content, you grant REDI a non-exclusive, worldwide, non-transferable, royalty-free license to use, exhibit, publish, reproduce, distribute, copy and display the User Content that is not confidential or proprietary for the sole purpose of operating the Site, promoting Biotech Corridor, and supporting REDI’s economic development mission. You retain ownership of your User Content.
REDI grants to you a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use the Site and Services as set out in the Agreement. No licenses or other intellectual property rights are granted to you or REDI by implication or otherwise, except for the rights expressly granted in these Terms of Use.
You are solely responsible for all access to and use of your Account (whether authorized or unauthorized), including all Content and Services accessed through your Account. REDI may deem any actions taken through your Account to have been authorized by you. You are responsible for compliance, and the compliance any other Users of your Account, with these Terms of Use. You will ensure the security and confidentiality of each Account ID and will notify REDI immediately if any Account ID is lost, stolen, or otherwise compromised. You acknowledge that you are fully responsible for all costs, fees, liabilities, or damages incurred, and material transferred, stored, modified, or shared through the use of each Account ID (whether lawful or unlawful). In no event will REDI be liable for the foregoing obligations or the failure by you to fulfill such obligations.
4.3 Representations
You represent and warrant that you have all necessary rights to submit your User Content, that it is accurate and not misleading, and that it does not infringe any third party’s rights, including any copyrights, marks or patents, or violate any law.
4.4 Prohibited Content
When you post Your Content to the Site, you also grant REDI the right to use your name, or otherwise identify you, in connection with your Content. You represent and warrant that none of your Content or the Use of Your Content by REDI: (1) violates this Terms of Use, the Privacy Policy, Membership Agreement or any applicable laws, rules, or regulations (“Laws”); (2) is libelous, defamatory, obscene, abusive, pornographic, threatening, or an invasion of privacy; (3) constitutes an infringement, misappropriation, or violation of the IPR or other rights of any third party; (4) is illegal in any way or advocates illegal activity; (5) is false, misleading or inaccurate; or (6) is or could be considered junk mail, spam, a part of a pyramid scheme, a disruptive commercial message or disruptive advertisement. REDI is not responsible or liable for any deletion, correction, destruction, damage, loss or failure to store, restore or back-up any of your Content. You agree that you have all right, title, interest, and consent in your Content necessary to allow REDI and its service providers to use your Content as set forth in this Terms of Use. REDI reserves the right to remove any content at its discretion.
5. Biotech Collaboration Hub and Business to Business Connections
The Site includes features that facilitate connections between member companies, including a company directory, collaboration hub listings, and messaging tools. REDI provides these features as a neutral platform.
6. Funding Opportunities Database
The funding opportunities database aggregates information from public and third-party sources. REDI does not guarantee the accuracy, completeness, or current availability of any listed opportunity, and users are responsible for verifying details directly with the funding source before applying.
7. Events Calendar
Event listings on the Site may include events organized by REDI as well as third-party events aggregated from external sources. REDI is not responsible for third-party events, their content, registration processes, or any issues arising from attendance.
8. Intellectual Property
The Site, including its design, branding, text, graphics, and software (excluding User Content), is owned by REDI or its licensors and is protected by intellectual property law. You may not copy, modify, distribute, or create derivative works without prior written permission, except as expressly permitted by these Terms.
9. Third-Party Links and Services
The Site may contain links to third-party websites or services, including payment processors (Stripe, PayPal). REDI is not responsible for the content, privacy practices, or terms of third-party services.
The Site may allow you to link, connect, or otherwise communicate with other Users. By linking, connecting, or communicating with other Users, you are agreeing to allow those Users to communicate directly with you through the Site. You agree that you are solely responsible for all communications between you and any other User through the Site. Your extension or acceptance of a link, connection, or other communication with another User will serve as your affirmative “opt in” to the disclosure of any of your Content or other data or information (which may include your personal information) that you provide to that other User.
If you access a third-party sites or content from the Site or any Services, then you do so at your own risk and REDI is not responsible for any content on any linked site. You may not frame or otherwise incorporate into another site the Content or other materials on the Site without REDI’s prior written consent.
10. Disclaimers
Warranties. REDI represents and warrants that: (a) it will provide the Site and all Services in a professional manner in accordance with all laws and the standards that are applicable to or would reasonably be expected of a provider of similar services in the State of Maryland. Except as specifically set out in these Terms, and to the maximum extent permitted by applicable law, the Site and Services are provided “as is” and “as available” and REDI expressly disclaims all warranties of any kind, express, implied, or statutory, including without limitation all implied warranties, duties or conditions of title, merchantability, fitness for a particular purpose, non-infringement, and all warranties arising from course of dealing or performance, usage, and trade practice. REDI makes no warranty of any kind that the Site or Services or results of the use thereof, will meet your, or any other person’s, requirements, operate without interruption, achieve any intended result, be compatible or work with any software, system, or other services, or be secure, accurate, complete, free of harmful code, or error free. You understand and agree that REDI disclaims any liability for errors that relate to user error.
Accuracy of Information. You acknowledge and agree that REDI is not responsible for an inaccuracy or incompleteness of information on the Site or in the Services that is the result of your error or that of other users.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, each Party’s liability under the Terms of Use shall not exceed the amount paid by you to REDI hereunder in the preceding twelve (12) months. NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
12. Indemnification
Notwithstanding anything to the contrary herein, including Section 11, you agree to defend, indemnify, and hold harmless REDI, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from: (a) your User Content; (b) your use of the Site or Services; (c) your violation of these Terms; or (d) your violation of any third-party rights or applicable law.
You hereby agree to indemnify, defend, and hold harmless REDI and its subsidiaries, divisions, affiliates, officers, directors, shareholders, employees, agents, service providers, contractors, assigns, users, clients, providers, licensees, and successors in interest (“Indemnified Parties”) from any and all claims, losses, liabilities, damages, fees, expenses and costs (including attorneys’ fees, court costs, damage awards, and settlement amounts) that result from any claim or allegation (“Claim”) against any Indemnified Party arising in any manner from: (1) your access to or use of the Site or any Content or Services; (2) your Content, or any other information or data you provide to REDI; (3) your violation of applicable Laws; and (4) your breach of any provision of this Terms of Use. REDI will use reasonable efforts to provide you with notice of any such claim or allegation, and REDI will have the right to participate in the defense of any such claim at its expense.
13. Termination
REDI may suspend or terminate your access to your account, the Site or Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Site or Services ceases immediately, but provisions that by their nature should survive (including User Content license, intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.
Without limiting REDI’s right to terminate this Terms of Use, REDI may also suspend your access to your Account, the Site or any Services, with or without notice to you, upon any actual, threatened, or suspected breach of this Terms of Use or applicable law or upon any other conduct deemed by REDI, in its sole discretion, to be inappropriate or detrimental to the Site, Services, REDI, or any other User or third party.

15. Governing Law and Venue
These Terms are governed by the laws of the State of Maryland, without regard to its conflict of laws provisions. Any dispute arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Montgomery County, Maryland, and you consent to personal jurisdiction in those courts.
16. Changes to These Terms
REDI may amend these Terms, including the Privacy Policy and Membership Agreement, from time to time. Material changes will be communicated via the Site or email.
Any modifications will be effective immediately upon posting on the Site or issuance of emails. You may terminate these Terms of Use as set forth below if you object to any such modifications. However, you will be deemed to have agreed to any and all modifications through your continued use of the Site or any Services following such notice period.
17. No Intended Third-Party Beneficiaries
These Terms of Use are entered into solely for the benefit of you and us. No third party will be deemed a beneficiary of these Terms of Use or the Site or Services, and no third party will have the right to make any claim or assert any right based thereon.
18. No Waiver
In the event that these Terms of Use are not strictly enforced by you or REDI, such non-enforcement will not act as or be deemed to act as a waiver or modification of the Terms of Use, nor will such non-enforcement prevent either you or REDI from enforcing any of the Terms of Use thereafter.
The confidentiality covenants contained herein will survive the termination or cancellation of this Agreement
